Terms of Service

Draft — not yet reviewed by counsel. This is an engineering-authored baseline pending review and approval by qualified Australian legal counsel. It is published here so testers have a concrete, honest statement of the terms we intend to operate under during closed testing; it is not yet a final, counsel-approved legal document. 1. Acceptance and eligibility

By creating a HELM account, signing in, installing the HELM Desktop client, or otherwise using the Service, you (“you”, “your”, the “Customer”) agree to be bound by these Terms of Service (the “Terms”). If you do not agree, you must not use the Service.

If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and references to “you” include both you personally and that entity.

You must be at least 18 years old and legally capable of entering into a contract under the laws of your jurisdiction. The Service is a business-tier product not directed to children.

2. The Service

“HELM” or the “Service” means the HELM trading platform offered by HELM Systems, comprising:

  • the HELM Hub cloud backend (authentication, licensing, billing, subscription management, the customer portal, and the API surface at https://app.helmstack.app/api/v1/);
  • the HELM Desktop client and the HELM Service background process that run locally on the Customer's machine;
  • the HELM Agent, an MCP server spawned on the Customer's machine that brokers calls between AI hosts the Customer chooses to use and the local trading software the Customer already operates (such as charting, market data, broker, and journal applications);
  • the HELM marketplace of cassettes (publisher-signed configuration and code bundles) authored by HELM and by third-party partners;
  • and the documentation, software updates, and support channels associated with the above.

HELM is delivered as a subscription service. The specific features and cassettes available to you depend on the subscription tier you hold and the entitlements active on your account.

HELM is not a broker, financial adviser, registered investment adviser, or financial product issuer. HELM provides software infrastructure. Nothing produced by HELM, by the AI hosts you integrate with HELM, or by any third-party cassette constitutes financial product advice or a recommendation to buy or sell any financial instrument. All trading decisions and outcomes are yours. You must satisfy yourself that any use of HELM in connection with live markets is appropriate for your circumstances. See section 9 for warranty disclaimers.

3. Your account

You are responsible for keeping your sign-in credentials confidential and for activity that occurs under your account. Notify security@helmstack.app immediately if you suspect unauthorised access to your account.

Multi-factor authentication (MFA) is required for paying subscription tiers. Disabling MFA on a paying tier may cause your account to be suspended pending a security review.

We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service for the duration of your active subscription, solely for your own business purposes. You must not:

  • resell, sublicense, lease, lend, or otherwise make the Service available to any third party;
  • reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, except to the extent permitted by mandatory law (and only after written notice to us);
  • scrape, crawl, or use automated means to access the Service outside the published API surface and within the documented rate limits;
  • circumvent or attempt to circumvent any licensing, entitlement, or authentication mechanism; or
  • use the Service to develop a competing product or to benchmark for the purpose of publishing comparative claims without our prior written consent.

One account is for one person (or, on Team tiers, the seats expressly purchased). Sharing credentials between individuals outside the seats your tier allows is a material breach.

4. Subscription and billing

4.1 Stripe-managed billing

All billing for HELM subscriptions is processed by Stripe (Stripe Payments Australia Pty Ltd and its affiliates). HELM does not store your payment card or bank account details — those are held by Stripe under PCI-DSS Level 1 controls and HELM receives only a non-reversible token identifying your payment method. You consent to Stripe's terms when you provide payment details.

4.2 Fees and tiers

Fees for each subscription tier are set out on the pricing page at the time you subscribe. Unless stated otherwise, fees are quoted exclusive of tax. GST (Australian customers), VAT (EU/UK customers), and other sales taxes are added at checkout where applicable. Where you supply a valid VAT/GST identifier via the Stripe Customer Portal, reverse-charge rules will be applied where they apply.

4.3 Auto-renewal and cancellation

Subscriptions auto-renew at the end of each billing period at the then-current price for your tier until you cancel. You may cancel, pause, change tier, or switch billing cycle at any time via the customer portal. Changes take effect at the end of the current billing period unless otherwise indicated.

4.4 Refunds

Except as required by mandatory consumer-protection law in your jurisdiction, fees paid for a partial billing period are non-refundable when the Customer cancels mid-period. If we cancel a subscription mid-period because of a material defect in the Service that we are unable to remedy within a reasonable time, we will refund the unused portion on a pro-rata basis.

New accounts receive a 30-day full-access trial with no charge at signup. If the trial is not upgraded or cancelled before it ends, the first post-trial charge (Stack, billed on day 31) is refundable in full within 7 days of that charge, no questions asked.

Australian consumers retain the benefit of any consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded or limited.

4.5 Failed payments

If a payment fails, we will retry per Stripe's standard dunning schedule and notify you by email. After the final retry, the subscription enters a grace period and access to paid features may be restricted. You can recover at any point during the grace period by completing payment via the customer portal.

4.6 Price changes

We may change subscription prices on at least 30 days' notice by email. Price changes take effect at the start of your next billing period after the notice. If you do not accept the new price, you may cancel before it takes effect.

5. Acceptable use

You agree not to use the Service to:

  • engage in or facilitate any unlawful activity, including market manipulation, insider trading, money laundering, sanctions evasion, or breach of any applicable financial-services or market-conduct rule;
  • abuse, overload, or attempt to circumvent the documented API rate limits, or generate automated activity outside the published API surface;
  • transmit malicious code, spam, phishing content, or content that infringes a third party's intellectual property or privacy rights;
  • attempt to gain unauthorised access to the Service, to other customers' accounts, or to the underlying infrastructure;
  • impair the integrity, availability, or security of the Service for other customers; or
  • circumvent the publisher-signature, license-stamp, or audit-log controls that protect the cassette pipeline.

We may suspend or terminate your account for breach of this section, in addition to any other remedies available to us at law.

6. Data ownership and licence

You retain all right, title, and interest in the data you submit to, generate within, or process through the Service (“Customer Data”). This includes your trading journal, your local strategies, your configuration, and any other content you create.

You grant HELM a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, display, and otherwise use Customer Data solely as necessary to provide, secure, support, and improve the Service and to comply with our legal obligations. We do not sell Customer Data, and we do not use it to train third-party AI models.

Our processing of personal data (which is a subset of Customer Data) is further governed by our Privacy Policy, which is incorporated into these Terms by reference.

HELM (and its licensors) owns all right, title, and interest in the Service itself — including the HELM brand, the Hub backend, the Desktop and Service binaries, the substrate runtime, the API surface, the cassettes we publish ourselves, and the documentation. Nothing in these Terms transfers any of that ownership to you.

If you provide feedback, suggestions, or bug reports, you grant HELM a perpetual, irrevocable, royalty-free licence to use that feedback in any way without compensation to you. You retain no obligation to provide feedback.

7. Third-party services and cassettes

The HELM marketplace makes available cassettes authored by HELM Systems and by third-party publishers. Third-party cassettes are provided under their publishers' terms and you are responsible for reviewing those terms before installing.

HELM verifies the publisher signature, distribution integrity, and (for partners enrolled in our revenue-share programme) the payout reconciliation. HELM is not responsible for the substantive behaviour of any third-party cassette and makes no warranty about it.

The Service depends on third-party sub-processors enumerated in our Privacy Policy and at https://app.helmstack.app/legal/processing-records. An outage at one of those sub-processors may degrade or interrupt the Service; we will work to restore service as promptly as practicable but accept no liability for the underlying sub-processor outage.

8. Suspension and termination

These Terms apply from when you first accept them and continue until terminated.

You may terminate at any time by cancelling your subscription in the customer portal. Termination takes effect at the end of the current billing period.

We may suspend or terminate your account, with or without prior notice, if:

  • you materially breach these Terms and fail to remedy the breach within 14 days of written notice (or immediately for breaches of section 5 — Acceptable use);
  • your payment is more than 30 days past due;
  • we are required to do so by law, by a competent court, or by a regulator;
  • continued provision of the Service to you would expose us, our infrastructure providers, or other customers to material risk; or
  • you cease to be solvent.

On termination, your right to use the Service ends. You may export your Customer Data via the customer portal for 30 days after termination; thereafter the data is deleted on the retention schedule set out in the Privacy Policy (subject to the 14-day deletion cooldown). Audit-log rows referencing your account are retained for up to 7 years for financial-records and compliance purposes, with PII hashed or nulled after the cooldown.

Provisions of these Terms that by their nature should survive termination (including data ownership, intellectual property, disclaimers of warranty, limitation of liability, indemnity, governing law, and this section) survive termination.

9. Warranties and disclaimers

We warrant that the Service will substantially conform to its published documentation when used in accordance with these Terms.

Beyond that warranty and any non-excludable consumer guarantee, the Service is provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by law, we disclaim all other warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy of trading-related data, non-infringement, uninterrupted availability, and freedom from defects.

In particular, you acknowledge that:

  • HELM is not a source of financial product advice. Outputs of the Service, including outputs of AI hosts the Customer integrates with HELM, are not investment, legal, tax, or trading advice.
  • HELM does not guarantee profit, the absence of loss, or any trading outcome. Live trading is risky and you bear the entire risk of your trading activity.
  • Third-party market data, broker execution, and AI host outputs reach you through their own providers; HELM does not warrant their accuracy, completeness, timeliness, or availability.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that under applicable law (including the Australian Consumer Law) cannot be excluded, restricted, or modified.

10. Limitation of liability

Subject to section 9, and to the maximum extent permitted by law:

  • HELM is not liable for any indirect, consequential, special, incidental, exemplary, or punitive damages, or for loss of profits, loss of revenue, loss of business opportunity, loss of trading profit, loss of goodwill, or loss of data, even if HELM was advised of the possibility of such damages.
  • HELM's aggregate liability to you for all claims arising out of or in connection with these Terms (whether in contract, tort (including negligence), under statute, or otherwise) is limited to the fees you paid to HELM under these Terms in the 12 months immediately preceding the event giving rise to the claim.

Nothing in this section limits liability that cannot be limited by law, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or the non-excludable consumer guarantees referenced in section 9.

Because HELM is a software platform and you control how and whether to act on its outputs, you accept that any losses arising from your trading activity are not losses HELM can be liable for, even where HELM's software contributed to your decision flow.

11. Indemnification

You agree to indemnify, defend, and hold harmless HELM Systems, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, penalties, costs, and reasonable legal expenses arising out of or in connection with:

  • your breach of these Terms;
  • your violation of any law or third-party right (including intellectual property and privacy rights);
  • your trading activity, market conduct, or use of the Service in any unlawful or non-conforming manner; or
  • Customer Data that you cause to be processed through the Service in breach of these Terms or applicable law.

HELM will give you prompt notice of any claim covered by this section and will reasonably cooperate (at your expense) in the defence. You will not settle any claim that admits liability on HELM's behalf or imposes obligations on HELM without HELM's prior written consent.

12. Changes to these Terms

We may update these Terms from time to time. The document version field at the top reflects the current version. Material changes (changes that adversely affect your rights or obligations) are notified to all active customers by email at least 30 days before they take effect; you may cancel before the new Terms take effect if you do not accept them. Non-material changes (typo corrections, clarifications that do not adversely affect you) take effect on publication.

Continued use of the Service after a Terms change takes effect constitutes acceptance of the new Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Victoria, Australia, without regard to its conflict-of-laws principles. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the federal courts of Australia.

Where you are a consumer resident in another jurisdiction with mandatory consumer-protection laws, you retain the benefit of those laws regardless of this clause and you may bring proceedings in your local courts where required by law.

Informal resolution. Before commencing any legal proceeding, either party will use good-faith efforts to resolve the dispute by communicating via email to legal@helmstack.app (for HELM) or to your account email (for the Customer), and, if unresolved within 30 days, by escalating to a senior representative on each side.

14. General

Entire agreement. These Terms, together with the Privacy Policy and (where executed) any Data Processing Agreement, form the entire agreement between you and HELM about the Service and supersede any prior agreement on the same subject matter.

Severability. If any provision is found unenforceable, the rest of the Terms remain in force, and the unenforceable provision will be modified only to the extent necessary to make it enforceable.

No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate restructure, or sale of substantially all the assets to which the Service relates, on notice to you.

Force majeure. Neither party is liable for failure to perform caused by circumstances beyond reasonable control, including widespread internet failures, sub-processor outages, acts of government, war, civil unrest, or natural disasters.

Notices. We give notices to you by email to the address on your account. You give notices to us at legal@helmstack.app.

Independent contractors. Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship between you and HELM.

Language. The English version of these Terms is the governing version. Any translation is provided as a convenience only.
